KENTUCKY ARBORISTS’ ASSOCIATION CONSTITUTION

ARTICLE I.  Name - The name of this organization shall be the “Kentucky Arborists’ Association, Inc.”

ARTICLE II.   Purposes - The purposes of this Association shall be:

A.   To improve the practice of tree preservation, encompassing commercial, municipal, and utility arboriculture.

B.   To stimulate a greater interest in and foster a greater public awareness of proper planting and preservation of shade and ornamental trees.

C.   To cooperate in the conservation of trees and in the beautification of the countryside.

D.   To initiate and foster scientific investigation into the various problems encountered in the practice of tree preservation, and to publish, or sponsor the publications of, the results of such investigation.

E.   To sponsor an Annual Meeting devoted to the exchange and presentation of information that will aid in the improvement of the practice of tree preservation.

F.   To establish and administer standards for recognition and regulation of the practices of arboriculture and its component skills, and to secure appropriate implementing legislation.

G.   To afford the manufacturers of materials or equipment used in the practice of tree preservation an opportunity to introduce and demonstrate their products to practicing arborists.

H.   To promote membership in the International Society of Arboriculture (ISA) and other arboricultural organizations.

ARTICLE III.   Membership

A.   Active Membership shall be open to all persons interested in shade and ornamental trees and their preservation, who may reside or have arboriculture interests in Kentucky.

B.   Academic Membership shall be limited to instructors and students teaching or undertaking courses in Arboriculture, Ornamental Horticulture and supporting and allied fields in a recognized institution.

C.   Senior Membership shall be limited to retired members who have been active members in good standing for at least five preceding consecutive years and who indicate, in writing, their desire to enter inactive status.  Senior members shall be entitled to all of the privileges of the Association.

D.   Honorary Membership shall include selected individuals nominated by the Kentucky Arborist’s Association and elected Honorary Members by action of its Executive Committee.

ARTICLE IV.   Officers, Executive Committee, Chapter Administrator and Board of Directors

A.   Officers.  The Officers of this Association shall be President, a President-Elect, a Secretary, a Treasurer, and an Editor.

B.   Executive Committee.  The Executive Committee shall consist of the officers of the Association and the immediate past President.

C.      Board of Directors.  The Association shall elect seven members to the Board of Directors.  Individuals representing educational institutions or educational groups may serve as non-voting advisors to the Board.

D.      Chapter Administrator.  The Chapter Administrator will serve as a non-voting advisor to the Board. 

ARTICLE V. Duties and Powers of Officers, Executive Committee and Board of Directors

A.   Officers

1.   The President shall preside at all meetings of the Association and of the Executive Committee.  The President shall appoint all temporary committees and all standing committees unless otherwise designated, subject to the approval of the Board of Directors.  The President shall convene the Board of Directors quarterly or more often as needed, or on the request of any three members of the Board.

2.   The President-Elect shall assist the President and, in the event of the President’s absence or disability, shall perform The President’s regular duties.  The President-Elect shall serve as chairman of the Membership Committee.

3.   The Secretary shall keep the minutes of the General and Board of Directors meetings, and shall present a formal report to the membership at the Annual Meeting.

4.   The Treasurer shall maintain up-to-date records of membership finances, disburse funds subject to the approval of the Board of Directors, and shall present a written summary to the membership at the Annual Meeting.

5..   The Editor shall compile and edit the Association Newsletter.  It will be The Editor’s responsibility to see that the membership receives a minimum of four Newsletter each year.  The Editor shall perform such other duties as the Board of Directors shall direct.

B.   Executive Committee - The Executive Committee shall have general supervision over the affairs of the Association and be empowered to act for the Association at and between its Annual meetings.

C.      Board of Directors - The members of the Board of Directors shall represent the Association in all matters coming before the Board regarding the business, property and affairs of the KAA.

1.       The ISA Representative shall be a liaison between the Kentucky Arborists’ Association and the International Society of Arboriculture Board of Directors.

2.       The Certification Liaison shall be responsible for overseeing the coordination of the ISA certification program within Kentucky.

3.       The TREE Fund Liaison shall serve as the primary communication link between the Kentucky Arborists’ Association and the TREE Fund.

D.   The Chapter Administrator shall handle day-to-day administration of the Association.

ARTICLE VI.   Meetings

There shall be an Annual Meeting of the Association at such time and place as may be designated by the Board of Directors, and such other meetings as deemed desirable by the Board.

ARTICLE VII.   Conduct

The conduct of the Association shall accord with “Robert’s Rules of Order”. 

ARTICLE VIII.   Amendments

This Constitution may be amended at any Annual Meeting of the Association by a two-thirds affirmative vote of the members present and voting or with a forty (40) day return mail ballot, providing that such amendments shall have the prior approval of two-thirds of the members of the Board of Directors and that notice has been sent to all members by the Secretary at least one month prior to the meeting or the return mail ballot counting date identified on the ballot.  The proposed amendments must be clearly given in such notice, and voting by mail or authorized proxy will be permitted. 

ARTICLE IX   By-Laws

There shall be adopted, as required such By-Laws as are deemed essential to the development of good procedures in the Association.
